Distressed hotels and special situations: the first stay

In a distressed asset the reports are the last thing to trust. The guest is still arriving every day, and no one has asked them what they found.

In a hotel special situation, whether a distressed loan, an enforcement, a restructuring or an opportunistic purchase, the owner inherits an operator whose reporting has already failed to predict the outcome. The asset is still trading. Guests still arrive, book through an estate no one has audited, and leave reviews no one is reading as data. The Owner’s Audit gives the incoming owner or lender the ground truth quickly: the digital estate reviewed before arrival, a minimum of four nights on property as an unannounced paying guest, and a written report on what is broken in the operation, what is broken in the asset, and what is still worth protecting.

Why the reports fail first

Distress arrives through the numbers, but it starts in the product: standards lowered to protect GOP, capex deferred, the best staff gone, the digital estate left to intermediaries, the reviews softening by theme. By the time the covenant is breached the operator’s reporting has been explaining rather than describing for some time. A new owner cannot rebuild a plan on it.

What the first stay establishes

  • What the guest is being sold and what they receive. The gap between the estate’s promise and the delivery on property, which is the reputational liability the owner is inheriting.
  • What is operator failure and what is asset failure. A cold pool is capex; an empty bar at eight is management. The plan depends on the distinction.
  • What still works. The revenue centre, the team, the view, the course, the kitchen that the turnaround should be built around.
  • Where the demand went. Search, answer engines, Instagram, the booking path and the channel mix, reviewed by someone who builds demand systems.
  • Where the asset stands against the market. Optionally, silent stays at the comp set the turnaround must overtake.

Timing and discretion

The audit runs inside a diligence window or in the first weeks of control, in the season that matters. The property is not told a review is under way or who commissioned it, which in a special situation is often the point: staff and management behave as they have been behaving, not as they would for a new owner’s visit. The report goes to the commissioning party alone.

Luxury family resorts, golf resorts and five-star resorts

Distressed resort assets across Spain, Portugal, Italy, Greece and the Alps carry revenue centres the hotel accounts obscure: the golf course, the spa, the beach club, the kids’ club, the residences. The first stay establishes whether those centres are part of the problem or the basis of the recovery.

Questions owners ask

  • What is a special situation in hotel investment?

    An investment made where the asset, its debt or its operator is in distress or transition: non-performing loans, enforcement, restructuring, forced sale, or an opportunistic purchase below replacement cost.

  • How quickly can the audit run?

    Digital review before arrival, a minimum of four nights on property, and a written report afterwards. It is designed to fit inside a diligence window or the first weeks of control.

  • Does the operator know?

    Not from the audit. The stay is an ordinary booking. In a special situation that is usually essential.

  • Can it be commissioned by the lender?

    Yes, alone or jointly with a borrower or an incoming sponsor, subject to the facility agreement.

  • Is a fee published?

    Fees follow scope, which depends on the property, the season and whether comp set benchmarking is included. We agree it in conversation and are glad to give an early indication.
